With reference to the voluntary tender offer (the "Offer") launched by Unipol Gruppo S.p.A. (the "Offeror" or "Unipol"), pursuant to Article 102 et seq. of the TUF, as subsequently amended and integrated, on all the ordinary shares (the “Shares”) of UnipolSai Assicurazioni S.p.A. (“UnipolSai” or the “Issuer”), other than those already held, directly and indirectly, by the Offeror and the treasury Shares held, directly and indirectly, by UnipolSai, the Offeror announces that, during the acceptance period which began on April 8, 2024 and until the date hereof, a total amount of No.

The shareholders’ meeting of Unipol Gruppo S.p.A. (also referred to as the “Company”) held today approved the financial statements of the Company for the year ended on 31 December 2023, along with the directors’ management report, the contents of which have already been reported to the market.

The shareholders’ meeting decided to distribute a total of around €273m in dividends, corresponding to €0.38 for each eligible ordinary share.

The dividend will be payable from 22 May 2024, with the ex-dividend date starting from 20 May 2024 and the record date as 21 May 2024.

In accordance with article 85-bis, paragraph 4-bis of the CONSOB Issuers’ Regulation, Unipol Gruppo S.p.A. announces the data relating to the shares in issue and the number of voting rights as at 15 April 2024 (record date).
