It is hereby announced that the Minutes of the Ordinary Shareholders’ Meeting of Unipol Gruppo S.p.A., held on 24 April 2024, are available to the public at the registered office, on the authorized storage mechanism eMarket Storage (www.emarketstorage.com) and on the Company’s website www.unipol.it (under the section Governance/Shareholders’ Meetings/Ordinary Shareholders’ Meeting of 24 April 2024).

The Board of Directors of UnipolSai Assicurazioni S.p.A. (“UnipolSai” or the “Company”) authorised the issuance by the Company of a Euro-denominated, fixed rate subordinated Tier 2 instrument, to be issued in dematerialised form and to be held through Euronext Securities (formerly Monte Titoli), for a maximum nominal amount of up to Euro 750 million (the “Issuance” and the “Tier 2”).

Unipol has put the important partnership with Forumnet (owner and manager of the arena) on an official footing as it acquires the naming rights of the Forum di Milano as its title sponsor.

The iconic Milan arena will be called Unipol Forum in accordance with a long-term agreement lasting from May 2024 to December 2026, with the option to extend the contract for another year until the end of 2027.

Unipol Gruppo S.p.A. (the “Offeror” or “Unipol”), following what already communicated on April 26, 2024, announces, pursuant to Article 41, Paragraph 6, of the Issuers’ Regulation, the final results of the acceptances to the voluntary public tender offer (the “Offer”) launched by the Offeror, pursuant to Article 102 of the TUF, as subsequently amended and integrated, on all the ordinary shares (the “Shares”) of UnipolSai Assicurazioni S.p.A.

Unipol Gruppo S.p.A. (“Unipol” or the “Company”) hereby announces that, today, the proposed merger into the Company of UnipolSai Assicurazioni S.p.A. (“UnipolSai”), and Unipol Finance S.r.l., UnipolPart I S.p.A. and Unipol Investment S.p.A. - with the latter three companies entirely held by Unipol and holding shares in UnipolSai - approved by the board of directors of the Company during the meeting held on 21 March 2024, was filed at the registered office.

With reference to the voluntary tender offer (the "Offer") launched by Unipol Gruppo S.p.A. (the "Offeror" or "Unipol"), pursuant to Article 102 et seq. of the TUF, as subsequently amended and integrated, on all the ordinary shares (the “Shares”) of UnipolSai Assicurazioni S.p.A. (“UnipolSai” or the “Issuer”), other than those already held, directly and indirectly, by the Offeror and the treasury Shares held, directly and indirectly, by UnipolSai, the Offeror announces that, during the acceptance period which began on April 8, 2024 and until the date hereof, a total amount of No.

The shareholders’ meeting of Unipol Gruppo S.p.A. (also referred to as the “Company”) held today approved the financial statements of the Company for the year ended on 31 December 2023, along with the directors’ management report, the contents of which have already been reported to the market.

The shareholders’ meeting decided to distribute a total of around €273m in dividends, corresponding to €0.38 for each eligible ordinary share.

The dividend will be payable from 22 May 2024, with the ex-dividend date starting from 20 May 2024 and the record date as 21 May 2024.
