Unipol Gruppo S.p.A. Shareholders' agreement

Following the press release issued on 9 May 2018, please find attached the extract of the
Shareholders’ Agreement concerning Unipol shares, updated following:

• the merger by incorporation of CCS2 S.p.A. into Cefla Capital Services S.p.A;
• the liquidation process of CAMST 2 S.p.A., as part of which the ownership of the shares previously held by CAMST 2 were assigned to the sole shareholder CAMST Soc. Coop. a r.l.
