Principles, guidelines and internal policies govern the work conditions and wages of employees, in accordance with regulatory provisions and adjusted to reflect their professional value.
Remuneration is divided into two components:
- The Fixed Component: based on the Collective Labour Contracts, remunerates the expertise and skills possessed on the basis of the level of responsibility, the complexity of management and experience;
- The Variable Component: goals are given to develop professional capacity and reward results achieved in financial terms but also in relation to the creation of sustainable value in accordance with the ESG criteria.
ESG in the remuneration policy
Our remuneration policies support the sustainability strategy through systems that balance the various bonuses, helping to align the interests of Management with those of the shareholders.
In accordance with the Corporate Governance Code for listed companies, the Group has adopted a remuneration policy for members of its administrative and supervisory bodies, Chief Executive Officer, General Manager, and Key Management Personnel. Such policy also regulates the stakes held by the aforementioned individuals in the Company and its subsidiaries.
The targets linked to payment of short-term incentives to Group Managers include an indicator connected to the reputation profile of the Unipol Group.
The performance targets of the 2025-2027 long-term incentive component include three indicators:
- the first measures the achievement of climate change targets related to the reduction of Scope 1 and 2 greenhouse gas emissions from the Group’s operating properties and company fleet, in line with climate science-based objectives included in the integrated action plan to contribute to the achievement of a net-zero greenhouse gas emissions target by 2050;
- the second measures the increase in the amount of thematic investments;
- the third measures the percentage of the less-represented gender in positions of managerial responsibility.
